Terms and Conditions of the MerciApp Referral Program

The company J2S3, a simplified joint-stock company (SAS) with a share capital of €2,104.49, registered with the Nanterre Trade and Companies Register under number 884606328, with its registered office located at 295 boulevard Saint-Denis, 92400 Courbevoie, is the publisher of the MerciApp solution. As such, J2S3 (hereinafter “MerciApp”) may, at its absolute discretion, offer MerciApp users the opportunity to participate in a referral program (hereinafter the “Referral Program”) under the conditions detailed below.

1. General Provisions

1.1. Purpose

By participating in the Referral Program, you acknowledge that you have read and accept all of the present general terms and conditions of the Referral Program and the terms of use of our partner Cello. As a Referrer, you also undertake to have the new referred users accept these general terms and conditions of the Referral Program prior to any subscription to MerciApp.

Each clause of these general terms and conditions of the Referral Program is separate and distinct. If one or more of these clauses are or become void (in whole or in part) under applicable law or a final court decision, they shall be deemed unwritten without affecting the validity of the other provisions of these general terms and conditions of the Referral Program.

1.2. Definitions

For the performance of the Agreement, the following terms shall be understood as defined in this article:

Referrer: refers to a MerciApp user who invites other users to subscribe to MerciApp through the Referral Program. The Referrer may be an individual or a company representative.
New Referred User: refers to an individual who, through the Referral Program, creates a MerciApp account and subscribes to a plan following a Referrer’s invitation.
Account: refers to an individual account, identified by a unique email address, allowing a user to access MerciApp services on the website https://www.merci-app.com as well as its associated subdomains.
Workspace: refers to a dedicated environment within MerciApp grouping several user accounts, used for collaboration and resource sharing. A workspace may be owned and administratively managed by an individual or a legal entity.
Reward: refers to the benefit granted by MerciApp to the Referrer or the New Referred User in return for a successful referral of a New Referred User.
Referral Link: refers to the URLs provided by MerciApp to the Referrer, enabling the Referrer to invite colleagues or contacts to join MerciApp as a New Referred User.
Subscription: refers to the paid contractual commitment binding the New Referred User to MerciApp following the use of a Referral Link.

2. Updates to the Referral Program General Terms and Conditions

The amount, form, and type of rewards that may be obtained by the Referrer and the New Referred User under the Referral Program may change at any time at MerciApp’s discretion. We reserve the right to update the terms of the Referral Program at any time and without prior notice. If we modify these terms, we will publish the modification on this page. The modification will take effect upon publication. If you continue to participate in the Referral Program following any modifications, you will be deemed to have accepted the terms as modified.

3. The Referrer

3.1. Eligibility

In order to participate in the Referral Program, the Referrer must meet all of the following conditions:

The Referrer must be a MerciApp user.
The Referrer must hold a PayPal account in their name in order to receive Reward payments.
The New Referred User must not have previously subscribed to a MerciApp account.
The Referrer must activate the Referral Program through a registration form made available in their Workspace and use the referral link provided by MerciApp to invite the New Referred User.

3.2. Nature of Rewards

MerciApp provides Referrers with a referral link that allows the Referrer to invite other users to join the MerciApp solution. The Rewards granted to the Referrer depend on the type of subscription taken out by the New Referred User:

The Referrer may receive €10 per month for 2 months starting from the 2nd month of the New Referred User’s monthly subscription, or €20 as a one-time payment for an annual subscription. The Referrer may receive up to €20 per New Referred User, with a limit of 50 New Referred Users per year, for a maximum of €1,000 per year. The 50 New Referred Users may be spread across one or more Workspaces, with a limit of 10 New Referred Users who are employees of the same legal entity.

3.3. Payment of Rewards

Referrer Rewards will be paid by Cello via PayPal as stated in their terms of use. The Referrer is required to have provided the email address of their PayPal account at the time of activating the Referral Program. In the absence of this email address, no payment will be made.

The Referrer may only use the referral link for strictly personal and non-commercial purposes. As such, the referral link may not be subject to any compensation other than that offered by MerciApp under the Referral Program, nor be shared on websites aimed at matchmaking, offering discounts, or other coupons. The Referrer may not use paid advertising to promote their referral link.

4. The New Referred User

4.1. Eligibility

The New Referred User is eligible for rewards under the Referral Program subject to meeting all of the following conditions:

The New Referred User must be a new MerciApp user who has never previously subscribed to a MerciApp account.
The New Referred User must have been invited by a Referrer via a referral link provided by MerciApp.
The New Referred User must subscribe to a paid MerciApp plan within ninety (90) days of receiving the invitation.

4.2. Discounts

By becoming a customer of MerciApp under the Referral Program, the New Referred User may benefit from a discount of twenty (20) euros on any payment related to their Subscription Agreement with MerciApp. This discount cannot be combined with any other active promotional codes or any other discount granted by MerciApp.

5. Warranties of Referral Program Users (Referrer and New Referred User) and Liability

Any Referrer and/or New Referred User warrants that they are authorized to participate in and benefit from the Referral Program and that none of their legal, contractual, or professional obligations (including any internal “anti-corruption,” “gifts,” or “hospitality” policies) or other obligations prohibit them from doing so. They undertake to inform in advance any person or company (including their employer) that needs to be aware of their participation in the Referral Program, to obtain — where applicable — their prior authorization, and/or to make any required prior declarations.

The Referrer and/or New Referred User also undertakes to notify MerciApp without delay should they become aware of any legal, contractual, professional, or other obligation prohibiting them from participating in and/or benefiting from the Referral Program. They acknowledge that in such case they will be excluded from the benefits of the Referral Program.

The Referrer and/or New Referred User acknowledges that MerciApp shall under no circumstances be held liable in the event of a breach of said obligations resulting from participation in or benefit from the Referral Program.

6. Termination and Suspension

MerciApp may suspend or terminate the Referral Program for any reason whatsoever. MerciApp also reserves the right to suspend without prior notice the participation of the Referrer or the New Referred User in the Referral Program and to cancel any proposed Rewards and Discounts, particularly in cases of abusive or fraudulent activity, self-referral, or violation of these terms. Any attempt at self-referral, i.e. referring oneself or through an additional account, will result in the immediate termination of the right to participate in the Referral Program for both the Referrer and the New Referred User concerned, as well as the cancellation of any Reward already attributed or pending validation.
