Terms and Conditions of the MerciApp Affiliate Program

The company J2S3, a simplified joint-stock company (SAS) with a share capital of €2,104.49, registered with the Nanterre Trade and Companies Register under number 884606328, with its registered office located at 295 boulevard Saint-Denis, 92400 Courbevoie, is the publisher of the MerciApp solution. As such, J2S3 (hereinafter “MerciApp”) offers businesses the opportunity to participate in an affiliate program (hereinafter the “Affiliate Program”) under the conditions detailed below.

1. General Provisions

1.1. Purpose

By participating in the Affiliate Program, you acknowledge that you have read and accepted all of these general terms and conditions as well as the terms of use of our affiliate management partner Cello.

1.2. Definitions

For the performance of the Agreement, the following terms shall be understood as defined in this article:

  • Affiliate: refers to a business with a SIRET number participating in the MerciApp Affiliate Program by recommending its services to qualified prospects.
  • New Affiliated Customer: refers to a user who creates a MerciApp account and subscribes to a plan following an Affiliate’s invitation.
  • Account: refers to an individual account, identified by a unique email address, allowing a user to access MerciApp services.
  • Workspace: refers to a grouping of user accounts linked to a workspace owner. The workspace owner may be a legal entity or an individual and is responsible for the administrative management of the associated accounts.
  • Affiliate Link: refers to the URLs (Uniform Resource Locators, i.e. website addresses) provided by MerciApp to the Affiliate, enabling the Affiliate to invite professional contacts to join MerciApp.
  • Subscription: refers to the paid contractual commitment binding the New Affiliated Customer to MerciApp following the use of an Affiliate Link or otherwise.
  • Commission: refers to the percentage or fixed amount granted by MerciApp to the Affiliate in return for a paid subscription taken out by a New Affiliated Customer.

2. Updates to the Affiliate Program General Terms and Conditions

The amount, form, and type of commissions and benefits that may be obtained by the Affiliate and the New Affiliated Customer may change at any time at MerciApp’s discretion. We reserve the right to update the terms of the Affiliate Program at any time and without prior notice. If we modify these terms, we will publish the modification on this page. The modification will take effect upon publication. If you continue to participate in the Affiliate Program following any modifications, you will be deemed to have accepted the terms as modified.

3. The Affiliate

3.1. Eligibility

In order to participate in the Affiliate Program, the Affiliate must meet all of the following conditions:

  • The Affiliate must be a legal entity with a valid SIRET number.
  • The Affiliate must hold a PayPal account in its name in order to receive Commission payments.
  • The Affiliate must submit a request to activate the Affiliate Program through a registration form made available in its workspace and use the affiliate link provided by MerciApp to invite the New Affiliated Customer.

3.2. Nature of Commissions

MerciApp provides Affiliates with an affiliate link that allows the Affiliate to invite businesses to join MerciApp. Commissions granted to the Affiliate are calculated according to the following model:

  • The Affiliate may receive a commission equal to 40% of payments made under the monthly or annual subscription taken out by the New Affiliated Customer during the first 12 months of the subscription.
  • The Affiliate may also offer a discount of up to 20% on the first invoice of the New Affiliated Customer, as a welcome benefit, via a personalized promotional code.

3.3. Payment of Commissions

Affiliate Commissions will be paid by Cello via PayPal as stated in their terms of use. The Affiliate is required to have provided the email address of their PayPal account at the time of activating the Affiliate Program. In the absence of this email address, no payment will be made.

Commissions on annual subscriptions will be paid in a single lump sum at the beginning of the period, while commissions on monthly subscriptions will be paid each month during the eligibility period.

3.4. Sharing of Affiliate Links

The Affiliate may only use the affiliate link for strictly professional purposes. As such, the Affiliate may not promote the affiliate link or the benefit offered to the New Affiliated Customer on websites, forums, or discussion groups dedicated to promotional codes or discounts. The use of the affiliate link or the personalized promotional code in contexts related to promotional codes is strictly prohibited.

The Affiliate may also not target SEO queries including the terms “MerciApp promotional code” or any equivalent term. The Affiliate must not use paid advertising on keywords associated with MerciApp promotional codes or on associated trademarks.

3.5. Commission Attribution

The MerciApp Affiliate Program uses the Last Touch attribution model to determine the affiliate eligible for the Commission. This means that the Commission will be attributed to the affiliate whose link was the last to be used before the Affiliated Prospect’s subscription. All technical aspects related to the tracking and attribution of Commissions are managed by our partner Cello, in accordance with their terms of use. MerciApp is not responsible for any disputes regarding Commission attribution arising from the management carried out by Cello.

3.6. Commission and Discount Limitations

Commissions received by the Affiliate and discounts offered by the Affiliate are limited to a maximum amount per Affiliated Workspace.

  • Commissions: If an Affiliate refers a business that subscribes to a plan, the Commission will be calculated up to a maximum amount of €300 per business, regardless of the size of the business or the number of licenses subscribed.
  • Discounts: Similarly, discounts granted to New Affiliated Customers will be capped at a maximum amount of €200 per business, regardless of the total number of users in the Affiliated Workspace.

3.7. Compliance with the Terms and Conditions of the MerciApp Affiliate Program

As an Affiliate, you agree to comply with these terms and to promote MerciApp only in accordance with the methods authorized by the Affiliate Program.

4. The New Affiliated Customer

4.1. Eligibility

The New Affiliated Customer is eligible for commissions and discounts under the Affiliate Program subject to meeting all of the following conditions:

  • The New Affiliated Customer must be an individual or a business that has never previously subscribed to a MerciApp account.
  • The New Affiliated Customer must have been invited by an Affiliate via an affiliate link provided by MerciApp.
  • The New Affiliated Customer must subscribe to a paid MerciApp plan within ninety (90) days of receiving the invitation.
  • The New Affiliated Customer must not already be eligible for rewards under our referral program. In the event of overlap between the Affiliate Program and the referral program, the referral program will take precedence and affiliate commissions will not apply.

4.2. Discounts

By becoming a customer of MerciApp under the Affiliate Program, the New Affiliated Customer may benefit from a possible discount on any payment related to their Subscription Agreement with MerciApp. This discount cannot be combined with any other active promotional codes or any other discount granted by MerciApp. The discount is limited to one workspace per business and cannot be applied to multiple workspaces associated with the same legal entity. The discount is valid only for workspaces with fewer than 10 New Affiliated Users.

5. Warranties of Affiliate Program Users (Affiliate and New Affiliated Customer) and Liability

Any Affiliate and/or New Affiliated Customer warrants that they are authorized to participate in and benefit from the Affiliate Program and that none of their legal, contractual, or professional obligations (including any internal “anti-corruption,” “gifts,” or “hospitality” policies) or other obligations prohibit them from doing so. They undertake to inform in advance any person or company (including their employer) that needs to be aware of their participation in the Affiliate Program, to obtain — where applicable — their prior authorization, and/or to make any required prior declarations.

The Affiliate and/or New Affiliated Customer also undertakes to notify MerciApp without delay should they become aware of any legal, contractual, professional, or other obligation prohibiting them from participating in and/or benefiting from the Affiliate Program. They acknowledge that in such case they will be excluded from the benefits of the Affiliate Program.

The Affiliate and/or New Affiliated Customer acknowledges that MerciApp shall under no circumstances be held liable in the event of a breach of said obligations resulting from participation in or benefit from the Affiliate Program.

6. Termination and Suspension

MerciApp may suspend or terminate the Affiliate Program for any reason whatsoever. MerciApp also reserves the right to suspend without prior notice the participation of the Affiliate or the New Affiliated Customer in the Affiliate Program and to cancel any proposed Commissions and Discounts, particularly in cases of abusive or fraudulent activity, self-affiliation, or violation of these terms. Any attempt at self-affiliation, i.e. referring oneself or through an additional account, will result in the immediate termination of the right to participate in the Affiliate Program for both the Affiliate and the New Affiliated Customer concerned, as well as the cancellation of any Commission already attributed or pending validation.
